* 1. Have you already hired the independent contractor?
If your answer is yes, Great. Then you can really tailor your independent contractor agreement to a particular contractor/situation. As the hiring party, it is greatly in your interest to protect and lay forth the ownership rights of any intellectual property that may be developed.
If your answer is no, That is fine. When you have either hired or are close to hiring an independent contractor, then using Patent Express to have a non-disclosure agreement drafted will be more relevant.

Many parties (such a venture capitalists and attorneys) rarely, if ever, sign non-disclosure agreements.
