Drafting transfer of IP agreement

Suppose a patent attorney registered in Alabama has a client incorporated in Pennsylvania. The client wants the patent attorney to draft a transfer of IP (patents in particular) agreement between the client and another company, also incorporated in PA. Are there any ethical or "unauthorized practice of law" issues associated with the attorney in Alabama drafting the agreement between the two PA corporations?

I remember a case a while back dealing with this kind of issue. The UPL occurs where an attorney is practicing law in a state where he/she is not licensed. In this particular case, an attorney in Florida was counseling clients on NY Law, and that was deemed ok, provided he was not in NY.
