Licensing for Invesments - Anyone with expereince?

I have a startup emerging technologies firm. We are entering the commercialization phase for a disruptive innovation.
1) I am attempting to raise capital--bypassing venture and angel. I want to sell investment licenses in my product for a short period of time (mortgage) for an investment. The investment will be repaid from license royalties. My company has signed a patent borkering deal with a leading 'reputable' patent brokering firm that will secure several alliances with select global alliance partners. The master global alliance deal is potentially valued at more than $100 million over a five year period.
Does anyone know where I can obtain a sample patent investment licensing agreement? I would like to structure one for our investors.
2) I am also seeking an IP attorney willing to represent my company-- one that will agree to provide services (contract mainly for now) on contingency fee for a share of royalties.
If there is an IP attorney interested in hearing more about the deal and open to providing services on contingency for a royalty share-- A signed NDA and NC will be required for opportunity disclosure.
I would prefer to have an attorney structure the invesment license agreement. I look forward to your reply.
